1. Acceptance of Terms

By accessing or using Neurons & Croissants' website and services ("Services"), you agree to be bound by these Terms of Service ("Terms").

2. Description of Services

Neurons & Croissants provides French language instruction designed to help professionals achieve NCLC 7 proficiency for Canadian immigration purposes.

Our Services include:

• Live instruction (weekend classes)
• AI-powered conversation practice
• Personalized flashcard generation
• Progress tracking
• Community access

We reserve the right to modify, suspend, or discontinue any part of our Services at any time.

3. Eligibility

You must be:

• At least 18 years of age
• Legally authorized to enter into contracts
• Able to commit to the program requirements

4. Enrollment and Payment

Enrollment:

• Enrollment is confirmed upon receipt of payment or deposit
• Class sizes are limited; spots are first-come, first-served
• We reserve the right to refuse enrollment at our discretion

Payment:

• Tuition fees are listed on our website and are subject to change
• Payment is required in full before the program start date, unless a payment plan is arranged
• All fees are in Canadian dollars (CAD)
• Payment is processed through secure third-party processors

Refund Policy:

• 14-day trial: Full refund if you withdraw within 14 days of first class
• After 14 days, before 30 days: 50% refund
• After 30 days: No refund (exceptions at our discretion)
• Deposit ($500): Non-refundable once classes begin

5. Attendance and Participation

Requirements:

• Attend at least 80% of scheduled classes
• Complete AI practice sessions between classes
• Review personalized flashcards regularly
• Participate respectfully in class discussions

Failure to meet these requirements may result in:

• Ineligibility for our completion guarantee
• Removal from the program (no refund)

6. Our Guarantee

This guarantee does not cover:

• Students who do not meet participation requirements
• External factors beyond our control
• TEF/TCF test fees (you are responsible for these)

7. Intellectual Property

Our Content:

All curriculum materials, AI tools, flashcard systems, and instructional content are proprietary and protected by copyright and patent law.

You may:

• Use materials for personal learning during your enrollment
• Keep your personalized flashcards after program completion

You may not:

• Share, distribute, or sell our materials
• Reverse-engineer our AI system
• Use our content for commercial purposes

Your Content:

You retain ownership of any content you create (e.g., practice recordings, written exercises). By using our Services, you grant us a license to use this content to improve our system.

8. User Conduct

You agree to:

• Treat instructors and fellow students with respect
• Use Services only for lawful purposes
• Not disrupt classes or harass others
• Provide accurate information about yourself

Prohibited conduct includes:

• Cheating on assessments
• Sharing login credentials
• Recording classes without permission
• Using Services for any illegal purpose

9. AI and Technology Use

AI Conversation Partner:

• Our AI tools are provided "as is"
• AI-generated content may contain errors
• Instructors provide human oversight and correction
• We do not guarantee AI availability 100% of the time

Data Collection:

• We collect usage data to improve our system
• Your practice sessions may be analyzed (anonymized)

10. Third-Party Services

We may integrate third-party tools (e.g., payment processors, communication platforms). Your use of these services is subject to their terms and privacy policies.

We are not responsible for third-party services.

11. Disclaimers

Educational Services:

• We provide French instruction; we cannot guarantee immigration outcomes
• IRCC makes final decisions on PR applications
• Achieving NCLC 7 does not guarantee ITA or PR

No Professional Advice:

• We do not provide immigration or legal advice
• Consult a licensed immigration consultant for immigration matters

Results May Vary:

• Individual results depend on effort, aptitude, and circumstances
• Our success rates are based on past performance and may not predict future results

You agree to indemnify and hold harmless Neurons & Croissants from any claims, damages, or expenses arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any third-party rights

14. Termination

We may terminate your access to Services if:

• You violate these Terms
• You fail to meet participation requirements
• You engage in disruptive behavior
• Payment is not received

Upon termination:

• Your access to classes and AI tools will be revoked
• You will not receive a refund (unless required by law)
• You must cease using our materials

15. Modifications to Terms

We may update these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date.

16. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada.

Any disputes shall be resolved in the courts of Toronto, Ontario.

17. Dispute Resolution

Before filing a lawsuit:

If informal resolution fails:

You agree to binding arbitration in Toronto, Ontario (unless prohibited by law).

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Neurons & Croissants.
